Lawyers contract mistakes
Lawyers make mistakes in contracts just like other professionals. Most contracts are correct, but errors can occur for many reasons.
Common mistakes include:
- Typographical or clerical errors, such as incorrect dates, amounts, or names.
- Ambiguous wording that may lead to different interpretations.
- Cross-reference errors, where the contract refers to the wrong clause or appendix.
- Missing provisions, for example regarding termination, liability, or dispute resolution.
- Legal errors, where a clause is invalid or does not comply with applicable law.
- Insufficient customization, where a standard contract has been reused without being adequately adapted to the specific circumstances.
The fact that a contract has been drafted by a lawyer does not mean that it is free from errors. Courts regularly hear cases in which contracts prepared by lawyers prove to be ambiguous or contain mistakes.
If a lawyer makes an error that causes a client to suffer a financial loss, the lawyer may, in certain circumstances, be held liable for damages. For this reason, lawyers are generally required to carry professional indemnity insurance, which may cover such claims.
